These Terms and Conditions ("Terms") create a binding contract between you ("User", "You", or "Your") and ALM NOVA INC, a corporation organized under the laws of the State of Florida, United States, with its registered address at 79 SW 12th St PH0308, Miami, FL 33130 ("Company", "Licensor", "We", "Us", or "Our"), governing your access to and use of Maponim, our software-as-a-service platform that converts publicly available Google reviews and business profile data into one-page websites for restaurants, bars, cafés, and other hospitality businesses (the "Service" or "Maponim").
By creating an account, signing in through Google, subscribing to a paid plan, purchasing a custom domain, or otherwise accessing or using Maponim, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy and any other policy referenced herein. If you do not agree, you must not use the Service.
These Terms apply to all visitors, registered users, paying subscribers, and any individual or entity using Maponim on behalf of a business. We may update these Terms from time to time. Material changes will be communicated by email or through the Service before they take effect, and continued use after the effective date of any update constitutes acceptance of the revised Terms.
1.Introduction
These Terms and Conditions form a legally binding agreement between you and ALM NOVA INC regarding your use of Maponim. By accessing, registering for, or using the Service in any way, you agree to comply with and be bound by these Terms in full.
You represent and warrant that you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction. If you are using Maponim on behalf of a business, company, partnership, or any other legal entity, you further represent that you have the authority to bind that entity to these Terms, in which case "You" and "Your" refer to both you individually and that entity.
You are solely responsible for all activities that occur under your account, including the accuracy of any business information you submit, the content of websites you generate, and any custom domain you register through the Service. You agree to keep your Google account credentials secure, since Maponim uses Google OAuth as its sole authentication method, and to notify us promptly at contact@maponim.com if you suspect any unauthorized access.
If you do not agree with any provision of these Terms, you must immediately stop using the Service, cancel any active subscription, and delete your account.
2.Definitions
For the purposes of these Terms, the following capitalized terms shall have the meanings set forth below:
- "Licensor", "Company", "We", "Us", or "Our" means ALM NOVA INC, a Florida C-Corporation with registered address at 79 SW 12th St PH0308, Miami, FL 33130, which owns and operates Maponim.
- "User", "You", "Your", or "Licensee" means any individual or legal entity that accesses, registers for, subscribes to, or otherwise uses Maponim.
- "Services" or "Maponim" means the software-as-a-service platform accessible at maponim.com and any related subdomains, including all features, tools, AI-driven generation, hosting, domain procurement, dashboards, APIs, and integrations made available by the Company from time to time.
- "Output" means any text, layout, suggestion, summary, draft copy, generated website, or other content produced by Maponim in response to your input, including content generated by underlying artificial intelligence models such as Anthropic Claude.
- "User Content" means any data, materials, information, business details, edits, images, links, contact information, or other content that you submit, upload, paste, or otherwise provide to Maponim, including Google Maps URLs and edited site copy.
- "Third-Party Content" means any data, information, reviews, business profile details, photos, or materials sourced from third-party platforms (including the Google Places API and Google Maps) and made available through the Service.
- "Subscription Plan" means any of the plans described in Section 3 (Free, Pro, or Agency) under which you access the Service.
- "Custom Domain" means a domain name registered through our registrar partner Vercel on your behalf and connected to a site you create with Maponim.
3.Subscription Plans and License
Maponim is offered through tiered Subscription Plans, each granting you different usage rights, limits, and features. The Service is currently available in English and Spanish, the two languages supported by the platform across all plans. By selecting a plan, you agree to the specific terms below in addition to the rest of these Terms.
3a. Free Plan
The Free Plan allows you to create and publish one (1) site at no cost. Sites generated on the Free Plan display a visible "Powered by Maponim" watermark and cannot be connected to a Custom Domain. Free Plan accounts are subject to rate limits on site builds per hour and per day, and on Google Places resolutions per hour, intended to prevent abuse and preserve platform stability. We reserve the right to modify the Free Plan's features, limits, or availability at any time, including discontinuing it entirely with reasonable prior notice.
3b. Pro Plan
The Pro Plan is offered as a paid monthly or annual subscription at the prices listed on the Maponim pricing page at the time of checkout, billed in advance. The annual option represents a discount equivalent to approximately two months of service. From time to time we may offer promotional or launch pricing at a reduced rate, in which case the price displayed at checkout will reflect the discount. Pro subscribers may create up to ten (10) sites, remove the Maponim watermark, and connect one (1) included Custom Domain. Pro accounts are subject to higher rate limits than the Free Plan, sufficient for ordinary single-operator or small-team use.
3c. Agency Plan
The Agency Plan is offered as a paid monthly or annual subscription at the prices listed on the Maponim pricing page at the time of checkout, billed in advance. The annual option represents a discount equivalent to approximately two months of service. From time to time we may offer promotional or launch pricing at a reduced rate, in which case the price displayed at checkout will reflect the discount. Agency subscribers may create up to fifty (50) sites, remove the Maponim watermark, and connect up to five (5) included Custom Domains. Agency accounts receive the highest rate limits available on the platform. Agency Plan accounts remain single-seat at this time; multi-seat team functionality may be introduced later and will be governed by additional terms when released.
3d. License Grant
Subject to your compliance with these Terms and timely payment of all applicable fees, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use Maponim and the Output solely for your own internal business purposes during the active term of your Subscription Plan. All rights not expressly granted are reserved by the Company.
3e. Plan Limits
Each plan is subject to (i) a maximum number of generated sites, (ii) limits on the number of Custom Domains that may be connected, (iii) rate limits on site builds per hour and per day, and (iv) rate limits on Google Places API resolutions per hour. These limits exist to prevent abuse, protect third-party API quotas, and ensure equitable platform performance for all Users. You may not attempt to circumvent these limits through multiple accounts, automation, scripts, or any other technical means. We may adjust plan limits over time with reasonable notice.
3f. Billing, Renewal, and Cancellation
Paid Subscription Plans are billed in advance through our payment processor, Stripe. By providing payment information, you authorize us and Stripe to charge the applicable fees, taxes, and any other amounts due. Subscriptions automatically renew at the end of each billing period (monthly or annual, as selected) at the then-current rate, unless cancelled before the renewal date. You may cancel at any time through your account dashboard. Upon cancellation, access continues until the end of the current paid billing period, after which the account reverts to the Free Plan or is suspended if Free Plan limits are exceeded. We do not provide pro-rated refunds for partial periods (see Section 6).
3g. Custom Domains
Custom Domains are registered on your behalf through our registrar partner, Vercel. The domain purchase fee charged through Maponim includes the underlying registrar cost plus a small handling markup that compensates us for processing, setup, and renewal management. You are the legal owner of any domain registered through the Service, and the WHOIS record will reflect contact information you provide. You are responsible for keeping that contact information accurate and current. Domains renew automatically each year at the then-applicable price, charged through Stripe, unless cancelled before the renewal cycle. Domain purchase and renewal fees are non-refundable once the domain has been registered, because the underlying registrar fee is incurred immediately and cannot be reversed. If you cancel your Maponim subscription, you may continue to own the domain, but connecting it to non-Maponim hosting becomes your responsibility. Upon written request to contact@maponim.com, we will facilitate the transfer of registrar control (including providing any auth codes available from Vercel) so you can move the domain to another registrar or hosting provider, subject to standard ICANN transfer rules and any applicable transfer lock periods.
4.Permitted and Prohibited Use
Your use of Maponim is subject to the following permitted and prohibited use rules. Violations may result in immediate suspension or termination of your account, with or without notice, and may give rise to additional remedies described in these Terms or available under applicable law.
4a. Permitted Use
You may use Maponim to:
- Generate one-page websites for hospitality businesses you own, operate, manage, or are authorized to represent.
- Submit Google Maps URLs and paste publicly available business information for the purpose of generating site content.
- Edit, refine, customize, and publish Output as your own marketing material.
- Connect Custom Domains you have registered through us via our registrar partner Vercel.
- Generate and publish sites in English or Spanish, the two languages currently supported by the Service.
- Cancel, upgrade, or downgrade your Subscription Plan at any time through your account dashboard.
4b. Prohibited Use
You shall not, and shall not permit any third party to:
- Use the Service in violation of any applicable local, state, federal, or international law or regulation.
- Reverse engineer, decompile, disassemble, scrape, crawl, or otherwise attempt to extract the source code, models, prompts, or proprietary logic of Maponim or its underlying AI infrastructure.
- Use the Service, the Output, or any component thereof to design, train, fine-tune, or improve a competing product or service.
- Create multiple accounts, use proxies, automation, or other technical means to bypass plan limits, rate limits, watermarks, or paywalls.
- Impersonate any person, business, or entity, or misrepresent your authority to act on behalf of a business whose data you submit.
- Generate, publish, or distribute content that is unlawful, fraudulent, deceptive, defamatory, obscene, harassing, hateful, infringing, or that violates any third party's rights, including intellectual property and privacy rights.
- Use Maponim to fabricate or publish false reviews, fake testimonials, misleading ratings, or any content designed to deceive consumers.
- Submit Personally Identifiable Information of third parties (including review authors) for any purpose other than what is necessary to generate and operate your site, and only where permitted by applicable law.
- Probe, scan, test, or attempt to breach the security of the Service, our infrastructure, or the systems of our sub-processors.
- Use the Service to send spam, unsolicited communications, or to operate any kind of phishing, malware, or scam site.
- Resell, sublicense, lease, or otherwise commercially exploit the Service in a manner not expressly permitted by your Subscription Plan.
4c. Third-Party Platforms
Maponim relies on several third-party platforms and sub-processors to deliver the Service, including but not limited to:
- Google Places API for public business profile data and reviews.
- Google OAuth for authentication.
- Stripe for payment processing.
- Vercel for hosting and as our domain registrar partner.
- Anthropic Claude for AI-driven content generation.
- Supabase for authentication state and data storage.
Your use of Maponim is also subject to the terms of service, acceptable use policies, and rate limits imposed by these third parties as they apply to data and operations flowing through them. We do not control, and are not responsible for, the availability, accuracy, or behavior of any third-party platform. Where any third-party platform restricts or terminates access (for example, if Google Places revokes API quota), the corresponding functionality in Maponim may be limited, suspended, or removed without liability to us.
5.License Term and Expiration
The license granted under Section 3d begins on the date you accept these Terms (typically the moment of account creation or first paid checkout) and continues for as long as your Subscription Plan remains active and your account remains in good standing. For Free Plan Users, the license continues for as long as the Free Plan is offered and your account is not suspended or terminated.
You may cancel your subscription at any time through your account dashboard. Upon cancellation, your paid plan benefits remain available until the end of the then-current billing period. After that date, your account will revert to the Free Plan if its limits can accommodate your existing sites, or, if Free Plan limits would be exceeded, sites in excess of the Free Plan cap may be unpublished, archived, or made read-only at our discretion until you either delete the excess sites or resubscribe to a paid plan.
We may suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and without prior notice, if we reasonably determine that you have violated these Terms, that your activity poses a risk to the Service or to other Users, that continued provision of the Service would expose us to legal or regulatory liability, or that required fees are overdue. Where reasonably possible and lawful, we will attempt to notify you of the reason and provide an opportunity to cure.
Upon termination for any reason, your right to access the Service and any Output ends immediately, except that any Custom Domain you legally own through Vercel registration remains your property, subject to Section 3g. Sites and User Content associated with a terminated or downgraded account will be retained for thirty (30) days following termination, after which they may be permanently deleted, except for backup and audit copies retained in the ordinary course of business or as required by law. During this thirty (30) day window, you may contact contact@maponim.com to request a reasonable export of your User Content. We may retain anonymized or aggregated data as permitted by our Privacy Policy and applicable law.
6.Refund Policy
All subscription fees paid for Maponim, whether on the Pro Plan or the Agency Plan and whether billed monthly or annually, are non-refundable, except as expressly required by mandatory provisions of applicable law. Because Maponim is a digital service delivered continuously and consumed immediately upon access, no pro-rated refunds are issued for unused portions of a billing period after cancellation.
Where applicable consumer protection law grants you a statutory right of withdrawal or cooling-off period (for example, certain consumer protections under the laws of the European Union, the United Kingdom, or other jurisdictions), you acknowledge that by accessing the Service and beginning to generate content immediately after subscribing, you expressly request immediate performance of the Service and acknowledge that, where permitted, your right of withdrawal may be waived once performance has begun. Where withdrawal rights cannot be waived under applicable mandatory law, you may exercise them within the period and through the means provided by that law, and any refund will be processed to the original payment method through Stripe.
Custom Domain registration and renewal fees are strictly non-refundable once the domain has been registered or renewed through Vercel, regardless of subscription status, because the registrar fee is incurred and irreversible at the moment of registration.
Where a refund is approved, it will be issued through Stripe to the original payment method used for the purchase, in the original currency of the transaction. Processing times depend on Stripe and the issuing bank and are outside our control.
7.Legal Compliance
You agree to use Maponim and any Output in compliance with all applicable laws, regulations, and industry standards, including but not limited to:
- Consumer protection and advertising laws, including rules against false, misleading, or deceptive representations and against the publication of fake reviews or fabricated testimonials.
- Intellectual property laws, including copyright, trademark, and rights of publicity.
- Data protection and privacy laws applicable to the personal data of your customers and to review authors, including, where applicable, the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and similar regimes.
- Tax laws applicable to your business, including the obligation to disclose required information on your website (for example, business identification, VAT, or other registration details where mandated by local law).
- Anti-spam, anti-fraud, and competition laws.
You are solely responsible for ensuring that any content published through Maponim, including AI-generated copy, complies with the laws of every jurisdiction in which it is accessible.
We reserve the right, but assume no obligation, to investigate any suspected violation of these Terms or of applicable law, to cooperate with law enforcement authorities, and to disclose any information necessary to satisfy any applicable law, regulation, legal process, or governmental request. We may, at our discretion and without prior notice, remove or unpublish any site, page, or content that we reasonably believe violates these Terms, applicable law, or the rights of any third party.
8.Your Account
Maponim accounts are single-user accounts tied to a single Google account through Google OAuth. We do not currently support multi-seat team or agency accounts; such functionality may be introduced in the future and will be governed by additional terms when released.
You agree to:
- Use a Google account that you legitimately control and that has not been created in violation of Google's terms.
- Keep your Google account credentials confidential and use appropriate security measures (such as two-factor authentication on the Google side).
- Provide and maintain accurate, complete, and up-to-date information in your account profile, billing information, and WHOIS contact details for any Custom Domain.
- Promptly notify us at contact@maponim.com of any unauthorized access, suspected compromise, or any other security incident affecting your account.
You are responsible for all activity that occurs under your account, including any sites generated, content published, domains purchased, and payments charged. We are not liable for any loss or damage arising from your failure to comply with these account-security obligations.
We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion, particularly where we have reasonable grounds to believe that an account has been used in violation of these Terms, has been compromised, has unpaid balances, or poses a risk to the Service, other Users, or any third party.
9.User Content and Third-Party Content
You retain ownership of the User Content you submit to Maponim, including business information you provide, edits you make to generated copy, and any media you upload. You represent and warrant that you have all rights necessary to submit such User Content and to grant the license described below, and that the User Content does not infringe or violate any third party's intellectual property, privacy, publicity, or other rights.
By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for technical purposes such as formatting and rendering), display, perform, and transmit the User Content solely as necessary to provide, maintain, improve, and secure the Service for you. This license terminates when you delete the User Content or close your account, except (i) to the extent necessary to comply with legal obligations, resolve disputes, or enforce these Terms, and (ii) for backup and audit copies retained in the ordinary course of operating the Service.
Third-Party Content (such as reviews and business profile information sourced from the Google Places API) is provided to you as a convenience and is owned by its respective rights holders. Your use of Third-Party Content through Maponim is subject to any applicable third-party terms, including those of Google. We make no representations or warranties regarding Third-Party Content, including its accuracy, completeness, timeliness, or fitness for any particular purpose.
We do not claim ownership of your User Content or your generated sites. However, we may use anonymized, aggregated, or de-identified data derived from usage of the Service for analytics, security, abuse prevention, model evaluation, and product improvement purposes.
We reserve the right, but assume no obligation, to review, monitor, screen, edit, refuse, or remove any User Content or Output that we reasonably believe violates these Terms, infringes any third-party right, or otherwise creates risk for the Service, our Users, or us. We are not obligated to preserve copies of User Content after termination of your account beyond the retention window described in Section 5.
10.Intellectual Property
The Maponim Service, including its software, source code, design, user interface, layouts, templates, prompts, AI workflows, brand name, logos, domain, documentation, and all related materials, is owned by ALM NOVA INC or its licensors and is protected by copyright, trademark, trade secret, and other intellectual property laws of the United States and other jurisdictions.
Subject to your compliance with these Terms and timely payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and the Output solely for your own internal business purposes during the active term of your Subscription Plan. Nothing in these Terms transfers to you any ownership interest in the Service, the underlying technology, the templates, or any associated intellectual property.
You may use, display, modify, and publish the Output (such as the generated one-page website) for your own business, subject to (i) compliance with these Terms, (ii) compliance with the terms of underlying third-party data sources (in particular Google), and (iii) the watermark and plan-limit conditions described in Section 3. To the extent that the Output incorporates Third-Party Content, your rights in that portion of the Output are limited by the third party's terms.
You shall not remove or alter any copyright, trademark, or other proprietary notices contained in the Service, the templates, or the Output. The "Maponim" name and any associated logos are trademarks of ALM NOVA INC. Other product and company names referenced in the Service may be trademarks of their respective owners.
11.Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by applicable law, the Company disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, completeness, security, availability, uninterrupted operation, and any warranty arising from course of dealing or usage of trade.
We do not warrant that:
- The Service will be uninterrupted, error-free, timely, or secure.
- Defects will be corrected within any particular timeframe.
- The Service or its servers are free of viruses or other harmful components.
- The results obtained from using the Service will meet your expectations, achieve any specific outcome, or generate any particular volume of customers, reservations, calls, or revenue.
- Third-party platforms and sub-processors (including Google Places, Stripe, Vercel, Anthropic, and Supabase) will remain available or behave as expected.
11a. AI-Generated Content Disclaimer
Maponim uses artificial intelligence, including models provided by Anthropic (Claude), to analyze publicly available Google reviews and business profile data and to generate website copy, summaries, themes, customer personas, and similar Output. AI-generated content has well-known limitations: it may contain inaccuracies, hallucinations, omissions, outdated information, biased phrasing, mistranslations, or content that is incomplete, unsuitable, or contextually inappropriate for your business. The Output is presented as a draft starting point, not a finished product.
You acknowledge and agree that:
- You are solely responsible for reviewing, editing, fact-checking, and approving any Output before publishing it on any website, domain, or marketing channel.
- You must verify that all factual claims (such as menu items, prices, hours, awards, certifications, allergens, alcohol policies, or services) are accurate for your specific business.
- The Company makes no warranty or guarantee that the Output is accurate, neutral, non-misleading, non-infringing, suitable for your jurisdiction, or compliant with any specific advertising, consumer protection, or industry-specific rules.
- You are responsible for ensuring that the Output does not misrepresent your business, defame any third party, or rely on review excerpts in a way that violates Google's terms or any applicable law.
11b. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company, its officers, directors, employees, contractors, agents, affiliates, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of goodwill, loss of business opportunity, loss of customers, loss of data, or business interruption, arising out of or relating to your use of or inability to use the Service or any Output, even if advised of the possibility of such damages.
The Company's aggregate liability to you arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or otherwise, shall not exceed the greater of (i) the total fees you actually paid to the Company for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (ii) one hundred United States dollars ($100). The parties intend this cap to function as a hard ceiling on the Company's monetary exposure while providing a minimum recoverable floor of one hundred United States dollars ($100) for users who have paid little or nothing in fees. Nothing in this Section limits liability that cannot lawfully be limited or excluded under applicable mandatory law.
12.Links to Other Websites
The Service, including generated sites and the Maponim dashboard, may contain links to third-party websites, services, or resources that are not owned or controlled by the Company. These may include, without limitation, Google Maps, reservation systems, online ordering platforms, social media networks, payment processors, registrar interfaces, and other tools relevant to hospitality businesses.
We provide such links only as a convenience and do not endorse, sponsor, or guarantee the content, products, services, or practices of any linked third party. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party website or service. You acknowledge and agree that the Company shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by, or in connection with, the use of or reliance on any such content, goods, or services available on or through any linked website or service.
We strongly encourage you to read the terms of service and privacy policies of any third-party website or service that you visit, link to, or integrate with Maponim.
13.Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees, contractors, agents, affiliates, licensors, and sub-processors from and against any and all claims, demands, lawsuits, investigations, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees and court costs, arising out of or in any way related to:
- Your access to or use of the Service.
- Your User Content, your edits to Output, and any site you publish through Maponim, including any claim that such content is inaccurate, misleading, defamatory, infringing, or otherwise unlawful.
- Your violation of these Terms or any policy referenced in them.
- Your violation of any applicable law or regulation, including consumer protection, advertising, intellectual property, and privacy laws.
- Your violation of any third party's rights, including review authors, customers, competitors, or platforms like Google.
- Your use of any Custom Domain, including any dispute over domain ownership, trademark, or WHOIS information.
- Any misrepresentation that you are authorized to act on behalf of a business whose data you submit to the Service.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of such claim. You shall not settle any claim that adversely affects the Company or imposes any obligation on the Company without our prior written consent.
14.Governing Law
These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with the Company, shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict-of-laws principles, and, where applicable, the federal laws of the United States.
Subject to the dispute resolution process described in Section 16, you and the Company irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Miami-Dade County, Florida, for the resolution of any dispute, action, or proceeding arising out of or relating to these Terms or the Service. You waive any objection to such venue based on inconvenient forum or otherwise.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms. If you are accessing the Service from outside the United States, you do so on your own initiative and are responsible for compliance with local laws to the extent local laws are applicable.
15.General Terms
15a. Assignment
You may not assign, transfer, or delegate these Terms or any of your rights or obligations under them, in whole or in part, without our prior written consent. Any attempted assignment in violation of this Section shall be null and void. We may assign these Terms or any of our rights or obligations under them, in whole or in part, without notice or restriction, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
15b. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms shall remain in full force and effect.
15c. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or any other term or condition, and the failure of the Company to assert any right or provision under these Terms shall not constitute a waiver of such right or provision. A waiver is only effective if it is in writing and signed by the Company.
15d. Taxes
All fees payable under these Terms are exclusive of any applicable sales, use, value-added, goods and services, or similar taxes, levies, or duties, unless stated otherwise. You are responsible for paying any such taxes associated with your purchases, except for taxes based on our net income. Where we are legally required to collect such taxes, they will be added to your invoice and charged through Stripe in addition to the subscription or domain fee.
15e. Entire Agreement
These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and the Company regarding the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written, regarding the same subject matter.
15f. Notices
We may provide notices to you by email to the address associated with your Google account, by in-Service notification, or by posting on the Maponim website. You shall provide notices to us by email at contact@maponim.com.
16.Disputes
Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service informally by contacting us at contact@maponim.com with a written description of the dispute, the relief you are seeking, and your contact information. The Company will attempt to resolve the dispute informally by contacting you in good faith within thirty (30) days of receipt of your notice.
If the dispute is not resolved through good-faith negotiation within sixty (60) days of your initial written notice, the parties agree to attempt to resolve the dispute through non-binding mediation in Miami-Dade County, Florida, before a mutually agreed mediator. Each party shall bear its own costs and an equal share of the mediator's fees, unless the parties agree otherwise.
If the dispute is not resolved through mediation within ninety (90) days of the request for mediation, either party may bring the dispute before the state or federal courts located in Miami-Dade County, Florida, in accordance with Section 14.
Nothing in this Section prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information, or from bringing a claim within the jurisdictional limits of small claims court.
17.Force Majeure
The Company shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, fire, flood, earthquake, severe weather, epidemic or pandemic events, war, terrorism, civil unrest, government action, embargoes, labor disputes, internet or telecommunications outages, denial-of-service attacks, hacking or other security incidents, disruptions or material changes affecting third-party platforms and sub-processors (including Google, Google Places API, Stripe, Vercel, Anthropic, and Supabase), changes in law or regulation, or failures of hosting infrastructure or AI-model providers.
During any such event, our obligations are suspended for the duration of the event, and the time for performance shall be extended accordingly. We will use reasonable efforts to mitigate the impact of the event and to resume normal performance as soon as reasonably practicable. If such an event materially affects the Service for more than thirty (30) consecutive days, either party may terminate the affected subscription, and any prepaid, unused fees attributable to the period during which the Service was unavailable may, at our discretion, be credited toward future use.
